CONDITIONS OF USE OF NOVAVIDYA INC’S SERVICE: CANAPPLY.CA.
Please read carefully the following terms of use (hereinafter the “Terms of Use”) of the CanApply.ca service of NOVAVIDYA INC., a company whose head office is located at 307-3155 Ernest-Hemingway, in the city of Saint-Laurent (H4R 0A2), in the province of Quebec, Canada (hereinafter “CanApply”).
CanApply operates this website and the web application made available through it (hereinafter the “Platform”) and the social media pages, account, network or any application contained therein designed and managed by CanApply (hereinafter the “Social Media”).
By deciding to use the Platform and CanApply’s services, the user, understood as the end user or the organization you represent or for which you work (hereinafter the “User” or “Users” or “you”) accepts all the Terms of Use indicated below which govern the content and use of the Platform, as well as CanApply’s privacy policy, available at the Privacy Policy page of the Platform (hereinafter the “Privacy Policy”).
These Terms of Use are legally binding on the User and CanApply (hereinafter the “Parties”). The Parties are entitled to invoke the present Terms of Use and to take all useful and necessary measures to ensure that they are respected.
If the User does not accept these Terms of Use or, as the case may be, the Terms of Use as amended from time to time, the User must not, or must no longer, use the Platform.
Terms defined in these Terms of Use are also used in the Privacy Policy. These Terms of Use, including the section “Plans, Payment and Refunds”, and the Privacy Policy are hereinafter referred to as the “Legal Terms”. We recommend that you read them carefully.
ACCESS AND USE OF THE PLATFORM
If you browse the Platform, this means that you have read, understood, and accepted the Terms of Use.
The Platform is accessible from any device (computer, smartphone, tablet, etc.) with a recent web browser.
For optimal use, we recommend the latest version of Chrome, Firefox, Safari or Edge.
ACCOUNTS AND ELIGIBILITY
To use most of CanApply’s services, you must create an account. You agree to provide accurate, complete and up-to-date information, including in the documents you upload, and to update it when it changes.
You are responsible for keeping your password confidential and for all activity that takes place under your account. If you believe your account has been accessed without your authorization, you must notify CanApply without delay at support@canapply.ca.
Each account is personal. You may not share, sell, transfer or allow another person to use your account.
If you are under the age of majority in the province, territory or country in which you reside (or under 14 years of age in Quebec), you may only use the Platform with the consent of your parent or legal guardian, who accepts these Terms of Use on your behalf and is responsible for your use of the Platform.
You may delete your account at any time. The effects of deleting your account on your personal information are described in the Privacy Policy.
THE SERVICE
The Platform helps prospective graduate students, including master’s and doctoral applicants, find and contact university professors about supervision and research funding, and manage their outreach. The services offered on the Platform include:
the Funding service, which lets you search a database of professors compiled from publicly available sources, select professors, generate and edit personalized outreach emails with the help of artificial intelligence, send them from your connected Gmail account, and track replies and automatic follow-up reminders;
Packages, including the year-long Funding Mentorship, in which a CanApply advisor works with you on your professor shortlist, your documents, your emails and your interviews;
Dana, an intelligent assistant that answers questions about the Platform and the application process; and
at your request, referrals to independent immigration lawyers.
The Platform is accessible at all times. The Platform may be temporarily unavailable due to updates or technical problems. CanApply is not responsible for any interruptions in service or updates. CanApply attempts to perform updates when traffic on the Platform is at its lowest.
CanApply does not warrant that the Platform, or any part thereof, will operate on any particular computer hardware or peripherals. Furthermore, the Platform may be subject to malfunctions and delays inherent in the use of the Internet and electronic communications.
CanApply reserves the right to add, delete and modify all content, or any part of it, on the Platform, with the exception of the User’s own content. CanApply cannot be held responsible for mistakes, typographical errors, and bugs. Each User is the owner of the content of their account. CanApply does not delete a User’s content unless the User requests it, or as described in these Terms of Use or in the Privacy Policy.
SENDING EMAILS THROUGH YOUR GMAIL ACCOUNT
To send outreach emails, you must connect your Gmail account to the Platform through Google’s secure authorization. By connecting your account, you authorize CanApply to send, on your behalf and from your email address, the emails you have reviewed and approved on the Platform, and to read the replies and delivery notices in the threads started by those emails, as described in the Privacy Policy. You may disconnect your Gmail account at any time.
You are the sender of every email sent from your account. You are solely responsible for the content of each email you approve, including its accuracy and the documents attached to it, and for complying with applicable laws, including anti-spam laws.
Unless a reply is received, each professor you contact may receive up to three (3) automatic follow-up reminders from your account. Reminders stop as soon as CanApply detects a reply from the professor.
To protect professors’ inboxes and the deliverability of your emails, CanApply paces the delivery of emails, spreading it across universities and throughout the day rather than sending everything at once. Queued emails are sent automatically and are not lost.
Your use of Gmail remains subject to Google’s terms and policies, including Gmail’s own sending limits. CanApply is not responsible for any action taken by Google regarding your Gmail account.
AI-GENERATED CONTENT
Email drafts, professor suggestions and answers from Dana are generated with the help of artificial intelligence. They may be inaccurate, incomplete or unsuitable for your situation. You must review, and where necessary correct, every draft before you approve it. CanApply does not guarantee the accuracy or suitability of AI-generated content.
Answers provided by Dana are general information only and do not constitute legal, immigration, financial or other professional advice.
You must not use the AI features to create content that is false or misleading, including fabricated academic credentials, publications, grades or experience.
PROFESSOR INFORMATION
The professor database is compiled from publicly available sources, mainly university and institutional websites. CanApply does not guarantee that this information is accurate, complete or up to date, or that any professor is accepting students or has funding available.
You may use professor information only to contact professors, through the Platform, about your own graduate application. You must not copy, scrape, export, sell or share the database or any part of it, or use it for mass mailing, marketing or any other purpose.
Professors may ask for their information to be corrected or removed, as described in the Privacy Policy.
NO GUARANTEE OF RESULTS
CanApply helps you prepare, send and follow up on your outreach, but does not guarantee any result, including a reply from a professor, supervision, admission, a scholarship or funding, or a visa. These decisions belong exclusively to professors, universities, funding bodies and government authorities.
PACKAGES AND MENTORSHIP
In the year-long Funding Mentorship, a CanApply advisor may review your professor shortlist, your documents and your email drafts before they are sent, and give you recommendations. You remain responsible for the final content of your emails and for your decisions. In the other plans, CanApply personnel do not review your emails before they are sent.
The scope of each Package is described at the time of purchase.
IMMIGRATION LAWYER REFERRALS
CanApply is not a law firm or an immigration consultant and does not provide legal or immigration advice. Lawyers to whom you are referred are independent. Any services they provide are governed by a separate agreement between you and the lawyer, and CanApply is not responsible for those services. Your file is shared with a lawyer only with your consent, as described in the Privacy Policy.
PLANS, PAYMENT AND REFUNDS
Plans. CanApply offers a Free Trial, recurring subscription plans and one-time add-on packages. The current plans, prices, included emails and features are shown on the Pricing page of the Platform at the time of purchase. All prices are in US dollars; applicable taxes are calculated at checkout. Payments are processed by Stripe. By purchasing, you authorize CanApply and Stripe to charge your payment method for the amounts shown.
Free Trial. The Free Trial lasts seven (7) days, requires no payment card and includes a limited number of emails. It never turns into a paid plan automatically. At the end of the trial, your drafts, sent emails and replies remain in your account, but access to the professor database ends until you start a paid plan.
Emails. One email corresponds to one professor contacted. Your balance decreases by one when the first message to a professor is sent. Generating and editing drafts, and automatic follow-up reminders, do not use your balance.
Automatic renewal. Subscription plans renew automatically at the end of each billing cycle, at the price then in effect, until you cancel. CanApply sends you a reminder before each renewal, stating the date and amount: twenty-four (24) hours before for the Weekly plan, three (3) days before for the Monthly plan and seven (7) days before for the Season plan.
Unused emails. Unused emails from a subscription carry over to your next billing cycle, up to a maximum of three hundred and sixty (360) banked emails. Add-on emails do not expire but require an active plan to be sent. If you cancel, your balance is held for sixty (60) days; if you subscribe again within that period, it is restored. After sixty (60) days, unused subscription emails expire; add-on emails remain in your account.
Cancellation. You may cancel your subscription at any time from your account settings. Your plan remains active until the end of the billing cycle already paid, and you will not be charged again.
Refunds. You may obtain a full refund of a charge by writing to support@canapply.ca within forty-eight (48) hours of that charge, provided that no email has been sent during that billing cycle. Once an email has been sent during a billing cycle, the charge for that cycle is non-refundable. Nothing in this section limits any right to a refund you may have under applicable law, including the Consumer Protection Act (CQLR, c. P-40.1).
Price changes. CanApply may change its prices. Any change to the price of your subscription will be notified to you at least thirty (30) days before it applies to your next renewal, and you may cancel before it takes effect.
Failed payments. If a payment fails, CanApply may suspend your access to paid features until the payment is completed.
ACCEPTABLE USE AND SUSPENSION
Each User of the Platform undertakes, without limitation, not to:
Use the Platform in a manner that could damage, disable, overburden or impair the Platform;
Disrupt the security of or otherwise abuse the Platform or any services, resources, systems, servers or networks connected to or linked to or accessible through the Platform or affiliated sites;
Disrupt or interfere with the use or enjoyment of the Platform by other Users or affiliated or linked sites;
Upload, post or otherwise transmit on the Platform a virus or other harmful, disruptive or destructive computer file or program;
Use a robot, spider or other automatic device or manual process to monitor or copy Platform pages or content, including the professor database;
Transmit unsolicited commercial e-mails, chain letters, spam or other types of mass e-mail through the Platform, or emails unrelated to your own graduate application;
Send emails that are harassing, threatening, abusive or discriminatory, or continue to contact a professor who has asked not to be contacted;
Provide false or misleading information, or impersonate another person, including by submitting fabricated academic credentials, publications or documents;
Share, sell or transfer your account, or circumvent sending limits, quotas or payment; nor to
Attempt to gain unauthorized access to the Platform or portions thereof to which access is restricted.
In addition, the User agrees that they are solely responsible for all actions and communications undertaken or transmitted to or on their behalf and agrees to comply with all applicable laws with respect to their use of or activities on the Platform.
Minor breaches. For a minor breach of these Terms of Use, CanApply may send you a warning and ask you to correct the situation, and may temporarily pause sending from your account until it is corrected.
Serious abuse. In the event of serious abuse, including spam, harassment of professors, impersonation or fraud, CanApply may immediately suspend or close your account and disable sending, without prior notice.
If your account is suspended or closed for a breach of these Terms of Use, you are not entitled to a refund for the remainder of the billing cycle or for unused emails, except where required by applicable law. If you believe your account was suspended in error, please contact support@canapply.ca.
CanApply may also stop providing a service, with reasonable notice. In that case, CanApply will refund the unused portion of any prepaid period.
INTELLECTUAL PROPERTY
Unless otherwise indicated, all intellectual property rights (trademark, copyright, etc.) (hereinafter the “Intellectual Property”) related to the Platform are the exclusive property of CanApply. You may not copy or use any of the materials, structure, menu, look and feel or characters that appear on the Platform without the express consent of CanApply.
Certain names, words, titles, phrases, logos, icons, graphics, designs, domain names or other content contained on the Platform or Social Media may, among other things, be registered or unregistered trademarks or trade names (all of which are referred to in these Terms of Use as “Trademarks”). These Trademarks are protected by Canadian and foreign trademark laws and are, as the case may be, the exclusive property of CanApply.
Without limiting the generality of the foregoing, Intellectual Property owned by CanApply includes, but is not limited to, the following:
All logos, drawings, graphics, photos, videos, trademarks (registered or not), symbols, texts, expressions, words and all general content of the Platform or Social Media not already subject to intellectual property rights;
All software, APIs, email templates and materials made available by the Platform;
All databases made available by the Platform or the Social Media, including the professor database as compiled by CanApply; and
All the content offered by the Platform, available for free download.
Unless otherwise indicated, all information provided on the Platform is the property of CanApply and is protected by applicable laws. In addition, the information may not otherwise be copied, displayed, distributed, downloaded, sublicensed, modified, published, reproduced, reused, sold, transmitted, or used for derivative works, public or commercial purposes without the express written permission of CanApply. The information is protected under the copyright and trademark laws of Canada and the countries that host the Platform or Social Media.
You may use the information exclusively for your personal use without modification, provided that you reference on all copies the respective copyright notices and trademark attributions. These Terms of Use grant you permission to view, display on your computer, download, and print the text and images, as well as the free tools, forms, webinars, articles, videos, calendar of events, information guides, presented on the Platform, solely for non-commercial, personal and supporting purposes, provided that the content of the Platform is not modified in any way. This authorization belongs solely to you; it may not be assigned or transferred to any other person, nor may it be sublicensed.
Images and text, as well as free tools, forms, webinars, articles, videos, calendar of events, information guides, contained on the Platform or Social Media that are downloaded, copied, saved, or printed are still subject to these Terms of Use. You must ensure that all copyright and trademark notices are retained. The content of the Platform or Social Media may be changed at any time without notice. For further information regarding permission to use, reproduce or republish any information presented on the Platform or Social Media, please contact us at support@canapply.ca.
Content created, imported, submitted or stored by the User, such as a CV, transcripts, a statement of purpose, a portfolio or email drafts, is the User’s property, and the User is responsible for ensuring that they have the right to use it. Your content is not visible to other Users.
By submitting content, you grant CanApply a non-exclusive, royalty-free, worldwide license to host, store, reproduce, process and transmit your content, solely as necessary to operate and provide the services to you, including sending the emails you approve with the attachments you choose and sharing your file with persons you designate, such as an immigration lawyer. CanApply will not publish your content or use it to promote its services without your separate consent. This license ends when your content is deleted in accordance with the Privacy Policy.
Any unauthorized downloading, retransmission, copying or modification of Intellectual Property or data contained on the Platform or Social Media may violate laws including those relating to trademarks or copyrights, and could subject the User to legal action.
EXTERNAL LINKS
It is possible that by using a hyperlink, the User leaves the Platform or Social Media to access external content (hereinafter the “External Websites”). CanApply makes available to Users, in addition to its own content, links to External Websites solely for the User’s convenience and information. CanApply has no control over the content of these External Websites and assumes no responsibility for their accuracy, precision, completeness, authenticity, timeliness, or suitability. All liability of CanApply is excluded, in particular for direct or indirect damage or consequences arising from the use of the contents of these External Websites. CanApply has no influence whatsoever on the content of linked External Websites and accepts no liability for the content of external links, in particular for any changes made after the link was set. Responsibility for the content of linked External Websites therefore rests exclusively with their operators.
In addition, CanApply does not warrant or represent that such External Websites or their content will not violate any law, including any copyright, trademark or other third-party rights, or be free of viruses or other harmful components.
No guarantee is given as to the authenticity of the documents available on the Internet.
SOCIAL MEDIA
The following terms apply when you access a Social Media page.
General statement
By using Social Media pages and submitting a comment, photo, video, or other material, you (and your parent/legal guardian if you are under the age of majority in the province or territory in which you reside) agree to be bound by and comply with CanApply’s Legal Terms and the terms of use of third-party Social Media providers. You also consent to CanApply copying, editing, publishing, translating, and distributing your comment, photo, video, or other material posted on a Social Media without compensation.
Social Media Terms of Use
Some of the comments and other materials posted on Social Media pages may not represent the views of CanApply. Accordingly, you agree not to post or submit any information, postings, links, or other materials of any kind to the Social Media pages that fall into any of the categories described below with respect to CanApply:
Any content that is defamatory, abusive, counterfeit, obscene, misleading or illegal;
Any content that otherwise violates the rights (including privacy rights) of others;
Any content enclosing advertising;
Promotional documents or any form of unwanted solicitation;
Any content whose origin or source is falsified;
Any financial or personal information about you or any other person; and
Any information that CanApply deems to be in violation of the Terms of Use.
Any information, message, link, or item that CanApply deems to fall into any of the above categories will be deleted immediately, without liability to CanApply.
Furthermore, CanApply does not assume responsibility for filtering messages posted on Social Media.
CanApply disclaims all liability with respect to entities that own or operate Social Media, including for any direct or indirect loss or damage arising from any action or decision made by you or any other person in connection with the use of Social Media websites.
DISCLAIMER, EXCLUSION OF WARRANTY AND INDEMNIFICATION
CanApply does not guarantee the accuracy, completeness, quality, suitability, or content of the information on its Platform. This information is provided “as is”, without warranty or condition of any kind, either express or implied, including, but not limited to, implied conditions and warranties of merchantability and fitness for a particular purpose, except in jurisdictions that do not allow the exclusion of implied warranties.
CanApply is not responsible for the content sent or posted through the Platform by Users and for any damage that may result therefrom. Each User is responsible for the content they send or exchange through the Platform and may not use the Platform for purposes contrary to the laws applicable in Quebec and Canada or in the User’s place of residence.
When the User is a consumer within the meaning of the Consumer Protection Act (CQLR, c. P-40.1), the latter does not allow the exclusion of warranties and the non-responsibility of CanApply for certain damages. In this case, the User has additional rights and is not subject to some of the limitations mentioned below.
Except where the Consumer Protection Act (CQLR, c. P-40.1) is applicable, CanApply shall not be liable for any direct, indirect, special, incidental or consequential damages, or any other damages whatsoever, including but not limited to loss of revenue, profits or anticipated economic benefits, arising out of the use of or inability to use the Platform, the information, documents and software contained therein, and the contents thereof, even if CanApply has been advised of the possibility of such damages or even if such damages can be reasonably foreseen.
As a User, you will indemnify CanApply, and, where applicable, its directors, officers, shareholders, partners, employees, agents, consultants and other CanApply stakeholders, and hold them harmless from and against any and all claims, liabilities, losses and expenses (including legal fees) attributable to your use of the Platform, the emails sent from your account and/or breach of these Terms of Use, whether such breach is by you or any third party user of your account.
You may not use or export the information or any copy or adaptation of the information in contravention of any applicable laws or regulations.
MODIFICATION OF THESE TERMS OF USE
CanApply occasionally updates these Terms of Use. Continued use of the Platform constitutes the User’s agreement to these Terms of Use and any updates.
However, where the Consumer Protection Act (CQLR, c. P-40.1) applies, CanApply will notify current Users of the Platform thirty (30) days prior to the effective date of the modification. If the User refuses these modifications and wishes to no longer use the Platform, they will have thirty (30) days following the effective date of the modifications to send a notice to CanApply. If the User objects to any changes made to these Terms of Use, the User must cease all use of the Platform.
GOVERNING LAW AND JURISDICTION
These Terms of Use are governed by the laws of the province of Quebec and the federal laws of Canada applicable therein. Any dispute relating to these Terms of Use or to the use of the Platform shall be submitted to the exclusive jurisdiction of the courts of the judicial district of Montreal, Quebec, subject to any right a consumer may have under applicable law to bring proceedings before the courts of their place of residence.
INTERPRETATION
The headings of the preceding sections are inserted for reference purposes only and shall not affect the construction or interpretation of the provisions of these Terms of Use.
Whenever the context requires, any word written in the singular also includes the plural and vice versa; any word written in the masculine also includes the feminine and vice versa.
